May formerly served on the board of Southern Cross and currently serves on the Government Superannuation Fund and is chair of the NZ Superannuation Fund.
He has also held managerial roles at Colonial Mutual and superannuation roles in the UK, Australia and Hong Kong before returning to New Zealand to head Colonial.
Ward is a Wellington-based solicitor, partner and board member at Simpson Grierson. He is also an independent director at ASX-listed Sydney Airport Holdings.
Sovereign chairman Gavin Walker said the two appointments would further strengthen an already experienced board.
"The addition of Stephen and David to our board of directors will bring significant industry knowledge as well as experience in leading large, complex companies," he said.
Gerry Mackrell and Jonathon Ling have stepped down from the Sovereign board, effective from 31 March, 2012.
